These Terms explain the rules for using AegisRho's agentic AI trading platform and its non-discretionary agent-execution service. By creating an account or connecting an exchange API key, you accept them in full. Please read them carefully: they cover risk, fees, custody, eligibility, liability limits, and arbitration in Singapore.
These Terms of Service (“Terms”) are a binding agreement between you (“Subscriber”, “you”) and AegisRho Pte. Ltd., a private limited company incorporated in Singapore (“AegisRho”, “we”, “us”, “our”).
By registering an account, connecting an exchange API key, or otherwise using the Service, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher), have legal capacity to enter into a binding contract, and not be barred from using financial services under any applicable law.
No identity verification is required to use the Service. We may nonetheless decline, suspend, or revoke access at any time without liability if we suspect fraud, sanctions exposure, or other compliance or security risk.
The Service is offered globally and does not restrict access by country. It is your sole responsibility to determine whether accessing and using the Service is lawful in the jurisdiction where you live, are located, or hold citizenship — including any local rules on derivatives trading, automated or copy trading, and taxation. If use of the Service is unlawful for you, you must not use it.
You represent that you are not a Specially Designated National and are not otherwise subject to sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or Singapore, and that you will not use the Service in violation of applicable sanctions law. If your status changes you must terminate use of the Service immediately.
The Service is a non-discretionary, automated signal-execution tool. AegisRho's AI agents generate Agent Signals from live market data and the platform's accumulated trading record, and the Service executes those signals on the Subscriber's Connected Exchange account automatically, in proportion to the Subscriber's opt-in configuration.
AI-generated decisions. Trading decisions within the Service are produced by artificial-intelligence models and automated software. AI outputs are probabilistic: they may be wrong, mistimed, based on incomplete, delayed, or inaccurate data, or may fail to account for market conditions. References to an "agent" describe software, not a person, adviser, or fiduciary. The Service's learning mechanisms do not guarantee improvement, accuracy, or profitability, and AegisRho makes no representation that any AI decision will be correct or profitable. You accept that every trade your agent places carries the full risk of loss, and that all trading losses in your account are borne solely by you.
The Service does not constitute, and nothing on the Service or in any AegisRho communication should be construed as: (i) investment advice, financial advice, tax advice, or legal advice; (ii) an offer or solicitation to buy, sell or hold any asset; (iii) a recommendation tailored to your personal circumstances; or (iv) a guarantee of any outcome.
AegisRho is not your fiduciary, agent, broker, dealer, exchange, custodian, or adviser. We owe you no duty of best execution, no duty of loyalty, and no suitability obligation. Your decision to enable Agent Execution is your own, made on the basis of your own assessment of risk, your jurisdiction, your tax position, and your financial circumstances.
AegisRho never takes custody, possession, title, or control of Subscriber funds, digital assets, or fiat. All assets remain in the Subscriber's Connected Exchange account at all times, subject to the terms of the Connected Exchange.
You agree to provide API keys with trade and read permissions only and to never enable withdrawal scope. AegisRho will not knowingly accept a key with withdrawal scope and disclaims all liability for any loss caused by a Subscriber granting permissions beyond what the Service requires.
Trade Fees are paid in prepaid Credits. One US dollar (USD 1.00) purchases 1,000 Credits. Trade Fees scale with the risk tier you select for your agent: each entry costs 300 Credits (low), 600 Credits (moderate), or 1,500 Credits (high) and each close costs 150, 300, or 750 Credits respectively, each debited at the time the corresponding order is placed.
If your Credit balance is insufficient to cover an entry, the entry is not placed. Closes are always executed, and the close fee is limited to your remaining Credit balance. If an order fails at the Connected Exchange, the corresponding Credits are refunded. Credits are not redeemable for cash, are non-transferable, and do not accrue interest. Trade Fees do not include exchange trading fees, funding rates, withholding tax, VAT/GST, or any other amount payable to a third party — all of which remain the Subscriber's responsibility.
AegisRho charges no management fee, no performance fee, and no deposit, withdrawal, or inactivity fee. We may revise the Trade Fee schedule on no less than thirty (30) days' advance notice; if you do not accept the revised schedule your sole remedy is to terminate before the new fees take effect.
Cryptocurrency and derivatives trading is extremely risky and may result in the total loss of your capital. The risks include, without limitation: (a) extreme price volatility; (b) leverage amplifying losses beyond the initial margin; (c) forced liquidation by the Connected Exchange; (d) slippage, partial fills, and rejected orders; (e) exchange outages, downtime, and counterparty failure; (f) smart-contract exploits and on-chain protocol failure; (g) regulatory changes; (h) network congestion and gas spikes; (i) tax liability that may exceed realised gains; (j) loss of access due to forgotten credentials, phishing, or device compromise; (k) errors, defects, latency, or outages in the Service's own software, data feeds, or AI models, including erroneous, missed, or delayed entries and exits.
Past, simulated, and hypothetical performance is not a reliable indicator of future performance. Returns shown on the website, dashboards, marketing materials, or in any AegisRho communication are illustrative only and do not guarantee comparable results in your own account.
You acknowledge that you are financially able to bear the risk of total loss and that participation in the Service is appropriate for your circumstances.
Any figures published by AegisRho — including engine parameters, decision cadence, fees, and any performance or outcome data — are stated in good faith and based on data available to AegisRho at the time of publication. AegisRho makes no representation as to their continuing accuracy and does not warrant that any subscriber will replicate any outcome.
Differences between the performance of AegisRho's own accounts and Subscriber outcomes will arise from, among other things: timing of API key activation, available margin, position sizing rules, exchange-specific fees, slippage at execution, jurisdictional restrictions on instruments, and Subscriber-initiated overrides.
All software, algorithms, strategies, signal logic, models, model weights, prompts, datasets, documentation, designs, marks, and materials made available through the Service are and remain the exclusive property of AegisRho or its licensors. Subscribers are granted a non-exclusive, non-transferable, revocable, royalty-free licence to use the Service for personal, internal agent-trading purposes only, for the duration of an active subscription.
You may not copy, reproduce, reverse-engineer, decompile, disassemble, scrape, frame, mirror, redistribute, sub-licence, or create derivative works from any part of the Service, the Master Book signals, or any AegisRho research output, except where such restriction is expressly prohibited by law.
You must not: (a) use the Service to facilitate money laundering, terrorism financing, sanctions evasion, market manipulation, wash trading, spoofing, or any other unlawful activity; (b) operate the Service on behalf of any sanctioned person or in violation of Section 4; (c) bypass, disable, or interfere with security or rate-limiting controls; (d) introduce malicious code, denial-of- service traffic, or unauthorised automation; (e) resell, sub-licence, or commercially exploit the Service or its outputs; (f) impersonate any person, including AegisRho personnel; or (g) use the Service in a manner that violates the terms of any Connected Exchange.
The Service depends on third-party Connected Exchanges, custodians, identity providers, payment processors, on-chain networks, and cloud infrastructure. AegisRho is not responsible for any act, omission, downtime, fee, restriction, or insolvency of any such third party. Your relationship with each Connected Exchange is governed exclusively by your contract with that exchange.
You may terminate your subscription at any time by revoking the relevant API key and closing your AegisRho account from the platform. Outstanding Trade Fees up to the moment of revocation remain payable.
AegisRho may suspend or terminate access to the Service, with or without notice, and without liability, if it reasonably believes that: (a) you have breached these Terms; (b) continued service poses a security, compliance, regulatory, or operational risk; (c) a Connected Exchange has restricted or terminated your account; (d) we are required to do so by law, regulation, court order, or competent authority; or (e) the Service is being discontinued in whole or in part.
Sections 5, 6, 8 (in respect of accrued amounts), 9–11, 15, 16, 17, 19, 20, 21, and 23 survive termination.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, OR FREEDOM FROM ERROR OR HARMFUL CODE. AEGISRHO DOES NOT WARRANT THAT THE SERVICE WILL BE PROFITABLE, MEET YOUR REQUIREMENTS, OR OPERATE WITHOUT INTERRUPTION OR ERROR.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGISRHO, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY: (i) LOSS OF PROFIT, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA; (ii) TRADING LOSS, LIQUIDATION LOSS, IMPERMANENT LOSS, OR MISSED OPPORTUNITY; (iii) LOSS ARISING FROM AI-GENERATED DECISIONS, AUTOMATED EXECUTION, SOFTWARE OR DATA-FEED ERROR, OR MODEL BEHAVIOUR; (iv) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; HOWEVER CAUSED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, AND WHETHER OR NOT AEGISRHO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AEGISRHO'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE FORM OF THE ACTION, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL TRADE FEES YOU ACTUALLY PAID TO AEGISRHO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD 100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless AegisRho, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms or applicable law; (c) your violation of any third party's rights, including any Connected Exchange's terms; (d) any tax, fine, penalty, or levy assessed in connection with your trading; or (e) any misrepresentation made by you.
AegisRho will not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbance, pandemic, government action, sanctions, embargoes, exchange outages, network congestion, on-chain reorganisations, 51% attacks, oracle failures, bridge exploits, power, internet, or cloud-infrastructure failures.
AegisRho may amend these Terms at any time by posting the revised Terms to the Service with an updated “Last Updated” date. Material changes will be notified to active Subscribers by email or in-platform notice not less than fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms; your sole remedy if you object is to terminate before that date.
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by, and construed in accordance with, the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service — including any question regarding their existence, validity, breach, or termination — shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of commencement.
The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The award shall be final and binding on the parties.
Class-action waiver. Disputes will be resolved on an individual basis only. You and AegisRho each waive any right to bring or participate in any class, collective, consolidated, or representative proceeding.
Notices to AegisRho must be sent in writing to [email protected] with a copy to the registered office. Notices to you will be sent to the email address associated with your account and are deemed received upon dispatch.
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and AegisRho with respect to the Service and supersede all prior or contemporaneous communications.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. A failure or delay by AegisRho to enforce any right or provision will not constitute a waiver of such right or provision.
Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without AegisRho's prior written consent. AegisRho may assign these Terms freely.
No third-party beneficiaries. Except where expressly provided, these Terms do not confer any rights on any person other than the parties.
English language. The English-language version of these Terms controls in the event of any conflict with any translation.
